YC365 Terms of Use

If you are located in, reside in, or are a citizen of the United States, China (including Mainland China, People's Republic of China), or any restricted jurisdiction, you are **not permitted** to access or use YC365's services. By accessing this platform, you represent and warrant that you are not located in, do not reside in, and are not a citizen of any restricted jurisdiction.

Welcome to YC365 (hereinafter referred to as "the Platform", "we", "us", or "our"). These Terms of Use ("Terms") constitute a legally binding agreement between you and YC365 governing your access to and use of our prediction market platform and related services.

Please read these Terms carefully before using the Platform. By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not access or use the Platform.

1. Acceptance of Terms

By accessing or using YC365, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using or accessing the Platform.

These Terms apply to all users of the Platform, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

2. Eligibility and Account Registration

2.1 Eligibility Requirements

You may not use the Platform if:

  • You are located, incorporated, or otherwise established in the United States, China (including Mainland China, People's Republic of China), United Kingdom, France, Ontario (Canada), Singapore, Poland, Thailand, Belgium, Taiwan, or any other restricted jurisdiction where participation in the Platform is prohibited by local laws or regulations.
  • You are subject to any sanctions administered or enforced by the United Nations, the European Union, the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), or any similar regulatory body.
  • You are under the age of 18 (or the age of majority in your jurisdiction).
  • You are unable to form legally binding contracts under applicable law.
  • You have been previously suspended or removed from the Platform.

2.2 Account Registration

To access certain features of the Platform, you may be required to register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

3. Description of Services

3.1 Platform Services

YC365 provides a decentralized prediction market platform that enables users to:

  • Create and participate in prediction markets
  • Trade prediction market shares
  • Access market data and analytics
  • Interact with smart contracts on blockchain networks

3.2 Service Limitations

We do not provide financial, investment, or legal advice, and we are not a registered broker-dealer, financial institution, or investment advisor.

The Platform is a technology service provider that facilitates access to decentralized prediction markets. We do not:

  • Operate, control, or take custody of any smart contracts, tokens, or user funds
  • Guarantee the accuracy, completeness, or timeliness of market information
  • Endorse or recommend any particular prediction market or trading strategy
  • Provide investment, financial, or legal advice

4. Use of the Platform

4.1 Permitted Use

You may use the Platform solely for lawful purposes and in accordance with these Terms. You agree to use the Platform only for:

  • Participating in prediction markets in compliance with applicable laws
  • Accessing market information and data
  • Interacting with smart contracts through the Platform interface

4.2 Prohibited Activities

You agree not to:

  • Use the Platform for any illegal activities, including but not limited to money laundering, terrorist financing, fraud, or market manipulation
  • Violate any applicable laws, regulations, or third-party rights
  • Interfere with or disrupt the Platform's security, systems, or any other users' access
  • Attempt to gain unauthorized access to any portion of the Platform, servers, or networks
  • Use automated systems, bots, or scripts to access or interact with the Platform without our prior written consent
  • Reverse engineer, decompile, or disassemble any aspect of the Platform
  • Copy, modify, or create derivative works of the Platform
  • Remove any copyright, trademark, or other proprietary notices from the Platform
  • Use the Platform to transmit any viruses, malware, or other harmful code
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Collect or harvest any information about other users without their consent

5. Prediction Markets and Trading

5.1 Market Participation

When participating in prediction markets on the Platform:

  • You understand that prediction markets involve financial risk
  • You are solely responsible for your trading decisions and outcomes
  • Market prices are determined by supply and demand and may be highly volatile
  • Past performance does not guarantee future results

5.2 Market Resolution

  • Market outcomes are determined according to the rules specified for each market
  • Resolution may be based on objective criteria, designated oracles, or community consensus
  • You agree to accept the resolution mechanism specified for each market
  • Disputes regarding market resolution are subject to our dispute resolution process

5.3 Trading and Transactions

  • All transactions on the Platform are executed through smart contracts on blockchain networks
  • You are responsible for paying all applicable gas fees and transaction costs
  • Transactions are irreversible once confirmed on the blockchain
  • We do not control or have the ability to reverse blockchain transactions

6. Digital Assets and Wallets

6.1 Wallet Connection

To use the Platform, you must connect a compatible cryptocurrency wallet. You are solely responsible for:

  • The security of your wallet and private keys
  • All transactions initiated from your connected wallet
  • Maintaining control over your wallet credentials
  • Backing up your wallet and recovery phrases

6.2 Asset Custody

YC365 does not hold, custody, or control your digital assets. All assets remain under your control in your connected wallet. We are not responsible for:

  • Loss of access to your wallet
  • Theft or loss of your private keys
  • Unauthorized transactions from your wallet
  • Any loss of digital assets

6.3 Asset Risks

Digital assets and cryptocurrencies are subject to:

  • High volatility and price fluctuations
  • Regulatory changes and uncertainty
  • Technical risks including smart contract bugs
  • Market manipulation and fraud
  • Loss of value or total loss

7. Assumption of Risk

By using the Platform, you acknowledge and agree that:

- **Market Risk**: Prediction markets are highly speculative and involve significant risk of loss
- **Smart Contract Risk**: Smart contracts may contain bugs, vulnerabilities, or be subject to exploits
- **Blockchain Risk**: Blockchain networks may experience congestion, forks, or other technical issues
- **Regulatory Risk**: Laws and regulations regarding prediction markets and cryptocurrencies may change
- **Technology Risk**: Software bugs, security vulnerabilities, or system failures may result in loss
- **Liquidity Risk**: Markets may have limited liquidity, affecting your ability to trade
- **Resolution Risk**: Market outcomes may be disputed or incorrectly resolved

**You should only participate with funds you can afford to lose completely.**

8. Intellectual Property

8.1 Platform Ownership

The Platform, including all content, features, functionality, and technology, is owned by YC365 and is protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use.

8.3 User Content

You retain ownership of any content you create or submit to the Platform. By submitting content, you grant us a worldwide, royalty-free, perpetual license to use, modify, and display such content in connection with the Platform.

9. No Warranty

To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to:

- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy, completeness, or reliability of the Platform
- Uninterrupted or error-free operation
- Security or freedom from viruses or other harmful components

We do not warrant that the Platform will meet your requirements or that the operation of the Platform will be uninterrupted or error-free.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • YC365 and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Platform.

  • In no event shall our total liability to you for all damages exceed $100 USD or the amount you paid to use the Platform in the last 12 months, whichever is lower.

  • We shall not be liable for any damages resulting from:

  • Your use or inability to use the Platform
  • Any unauthorized access to or use of our servers or your account
  • Any bugs, viruses, or other harmful code transmitted through the Platform
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content
  • The actions or inactions of third parties, including other users or blockchain networks

11. Indemnification

You agree to indemnify, defend, and hold harmless YC365 and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of or access to the Platform
  • Your violation of these Terms
  • Your violation of any third-party right, including any intellectual property or privacy right
  • Any content you submit, post, or transmit through the Platform

12. Termination

12.1 Termination by You

You may stop using the Platform at any time by disconnecting your wallet and ceasing to access the Platform.

12.2 Termination by Us

We may suspend or terminate your access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms.

12.3 Effect of Termination

Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms and Platform

13.1 Modification of Terms

We reserve the right to modify, update, or replace these Terms at any time at our sole discretion. If we make material changes, we will notify you by:

  • Posting the updated Terms on the Platform
  • Updating the "Last Updated" date at the top of these Terms
  • Providing notice through the Platform interface

!!! tip "Your Continued Use" Your continued use of the Platform after changes are posted will constitute your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Platform.

13.2 Platform Modifications

We reserve the right to modify, suspend, or discontinue the Platform (or any part thereof) at any time, with or without notice, for any reason, including for maintenance, updates, or business reasons.

14. Dispute Resolution

14.1 Market Disputes

Disputes regarding market resolution are subject to our dispute resolution process as described in our Dispute Resolution Process documentation.

Any disputes, controversies, or claims arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the British Virgin Islands Arbitration Centre, unless otherwise required by applicable law.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of law principles.

Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of the British Virgin Islands, and you hereby consent to the personal jurisdiction of such courts.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and YC365 regarding the Platform and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms or any rights hereunder without your consent.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or failures of blockchain networks.
